1. Acceptance of Terms

By accessing or using Agency Recon ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Agency Recon is a multi-tenant helpdesk and customer support platform designed for digital marketing agencies. The Service includes ticket management, email integration, customer relationship management, project management, and related features.

3. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to create an account
• One person or entity may not maintain multiple free accounts
• You are responsible for all activities under your account

4. Subscription and Payment

4.1 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees associated with your subscription.

4.2 Free Trial

We may offer a free trial period. At the end of the trial, your account will be charged unless you cancel before the trial ends.

4.3 Refunds

Refunds are handled on a case-by-case basis. Contact support within 14 days of billing to request a refund.

4.4 Price Changes

We reserve the right to modify pricing. You will be notified at least 30 days before any price increase takes effect.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit spam, malware, or harmful content
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the Service
• Use the Service for illegal or fraudulent purposes
• Resell or redistribute the Service without authorization
• Scrape or harvest data from the Service

6. Your Data

6.1 Ownership

You retain ownership of all data you upload to the Service. We do not claim any intellectual property rights over your content.

6.2 License to Us

You grant us a limited license to use, store, and process your data solely to provide the Service to you.

6.3 Data Security

We implement reasonable security measures to protect your data. However, no system is 100% secure, and you acknowledge the inherent risks of transmitting data online.

6.4 Data Export

You may export your data at any time. Upon account termination, we will provide a reasonable period to export your data before deletion.

7. Third-Party Integrations

The Service may integrate with third-party services (e.g., Google Workspace, Microsoft 365, Slack, Stripe). Your use of these integrations is subject to the respective third-party terms and privacy policies. We are not responsible for third-party services.

8. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by Agency Recon and protected by intellectual property laws. You may not copy, modify, or create derivative works without our permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENCY RECON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Agency Recon, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

12.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, or other reasons at our discretion. We will provide notice where practicable.

12.3 Effect of Termination

Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination will survive (e.g., intellectual property, limitation of liability).

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We will provide reasonable notice of significant changes.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on our website or sending you an email. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
